Terms of Service
These Terms of Service govern your access to and use of the Kable service, operated by J P Consulting (SARL). By creating an account or using the service, you fully accept these Terms.
1. Purpose
These terms of service (the "Terms") govern your access to and use of the Kable service (the "Service") operated by J P Consulting, SARL with share capital of €1,000, registered with the Paris Trade and Companies Register under number 939 296 778, whose registered office is at 60 rue François 1er, 75008 Paris, France ("Kable"). By creating an account or using the Service, you (the "User" or "Customer") fully accept the Terms.
2. Service description
Kable is a SaaS platform for managing bank signing authorities, designed for corporate treasury teams. The Service centralizes legal entities, bank accounts, signatories, and mandates, configures approval workflows, and generates electronically signed mandates.
3. User account
Access to the Service requires creating an account. The Customer warrants that:
- they act in a professional capacity (B2B). The Service is not intended for consumers.
- the information provided at registration is accurate and up to date.
- authentication is managed by Kable according to applicable standards. The Customer is responsible for the security of the associated authentication method.
- they are responsible for the actions of any users they invite to access their workspace.
4. Pricing
Pricing terms applicable to the Service are communicated to the Customer prior to any subscription.
5. Your data
The Customer remains at all times the owner of the data they enter in the Service.
Kable acts as a processor under the GDPR for this data. Processing, security, and retention terms are detailed in the Privacy Policy.
The Customer may request a copy of their data at any time pursuant to their right to data portability (Art. 20 GDPR). Upon termination, Kable deletes the data within a reasonable timeframe, except for legal retention obligations.
6. Acceptable use
The User agrees not to:
- use the Service for illegal or fraudulent purposes;
- infringe on third-party rights (privacy, intellectual property, etc.);
- attempt to circumvent security measures or access data they do not own;
- extract data from the Service in bulk via automated means without written authorization;
- reverse-engineer the Service or its components.
Kable reserves the right to suspend any account in case of manifest violation.
7. Intellectual property
The Service, its code, interface, documentation, trademarks, and logos are the exclusive property of J P Consulting. The Terms do not transfer any intellectual property rights to the Customer. The Customer is granted a non-exclusive, non-transferable right to use the Service, limited to the duration of use.
8. Liability
The Service is provided "as is". To the extent permitted by law:
- Kable does not warrant that the Service will be uninterrupted, error-free, or fit for a particular purpose;
- Kable's total cumulative liability is capped at the amounts actually received from the Customer during the preceding twelve months;
- Kable shall not be liable for indirect damages (loss of opportunity, data loss, loss of revenue);
- neither party is liable for failures resulting from force majeure within the meaning of Article 1218 of the French Civil Code.
Nothing in these Terms limits Kable's liability in case of gross negligence or willful misconduct.
9. Suspension and termination
The Customer may terminate their account at any time by writing to jonathan.perbet@kableapp.com.
Kable may suspend or terminate access in case of violation of these Terms or for security reasons, with reasonable prior notice when circumstances allow.
10. Changes
Kable may update these Terms to reflect changes in the Service or in applicable regulations. Material changes will be notified to the Customer through appropriate means with reasonable advance notice. Continued use of the Service after the new Terms take effect constitutes acceptance.
11. Governing law and jurisdiction
These Terms are governed by French law. Any dispute relating to their interpretation or performance shall be submitted to the exclusive jurisdiction of the Paris courts, subject to any mandatory legal provision to the contrary.
